Day to Day Operations
We strive to be completely available to our business clients to assist with day to day operational questions and challenges as and when they arise. We like to think of ourselves as “outside general counsel” for our business clients.

Employment Matters
We assist clients with employment related matters including drafting employment agreements and employee handbooks. In addition, we counsel clients on day-to-day operational matters involving employees as well as stock option planning and succession planning.

General Contracts
We draft, negotiate and review a wide array of contracts including contracts with customers, confidentiality agreements, independent contractor agreements, consulting agreements, non-disclosure agreements, supplier agreements, vendor agreements, financing agreements, equipment leases, etc.

Real Estate
We represent clients with respect to the acquisition, development, construction, leasing, financing, management and sale of commercial and industrial real estate and draft, negotiate and review documentation pertaining thereto. We also represent both landlords and tenants in lease transactions and adeptly handle tax-deferred exchanges under Section 1031 of the Internal Revenue Code (“Starker Exchanges”).

Loans/Lenders/Private Financing Arrangements
We counsel clients in connection with procuring loans including reviewing and negotiating loan documents and coordinating a wide array of private financing.

Mergers and Acquisitions
We advise clients on mergers and acquisitions from initial discussions through negotiation and closing. Dispute Resolution. We counsel clients in connection with resolving disputes including disputes with customers, vendors and/or suppliers and disputes among shareholders or partners.

Regulatory Matters
We assist clients to comply with laws and regulatory matters including preparing and filing of annual reports and drafting of corporate minutes.

Strategic Planning
We collaborate with our clients and their tax professionals, financial consultants and other trusted advisors to develop strategic plans, reduce risks, reduce tax consequences and maximize profits.
